“iMedic Software” represents our “ Hospital Management Software (HMS), Lab Management Software (LMS), Pharmacy Management Software (PMS), Clinic Management Software (CMS), Medic Pay, Medic Short Message Service(Bulk SMS), and iMedic Marketplace”.
By accessing or using iMedic Software, the user affirms that they have read, understood, and agree to be bound by these Terms and any applicable laws and regulations. If the user does not agree to these Terms, the user may not use iMedic Software.

iMedic Software is intended for use by healthcare providers, healthcare consumers(patients) and related entities such as businesses. By using iMedic Software, the user represents that they have the legal authority to enter into these Terms on behalf of the themself or the organization the user represent.

The user agrees to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.The users are responsible for safeguarding their password and any activities under their account. All content and materials available on iMedic Software, including but not limited to text, graphics, logos, icons, and software, are the property of iMedic Data Systems or its licensors and are protected by applicable intellectual property laws. The user may be able to submit, post, or display content (collectively, “User Content”) on iMedic Software. By submitting User Content, the user grants iMedic Software a worldwide, nonexclusive, royalty free, transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform the user Content in connection with iMedic Software and its businesses. We make no representations or warranties of any kind, express or implied, about the operation or availability of iMedic Software or the information, content, materials, or products included on iMedic Software. The user agrees to indemnify and hold harmless iMedic Software and its affiliates, officers, directors, employees, and agents “from and against” any claims, damages, losses, liabilities, costs, or expenses (including reasonable attorneys’ fees) arising out of or in connection with the user use of iMedic Software or violation of these Terms, including but not limited to any User Content the user submit, post, or display on iMedic Software.

These include marketing information about our product, updates, special offers, and relevant product announcements. iMedic Software informs users about key features, improvements, and opportunities to maximize the user experience. All communications are relevant and valuable to stay updated with our products’ latest news and benefits.
These Terms shall be governed by and construed in accordance with the laws of Ghana, without regard to its conflict of laws principles. The user agrees to submit to the personal jurisdiction of the courts located within Ghana for the purpose of litigating all such claims or disputes.

Any dispute arising out of or relating to these Terms or the iMedic Software shall be resolved through good faith negotiations between the parties. If the dispute cannot be resolved through negotiations, it shall be resolved through binding arbitration conducted in [the user Jurisdiction], in accordance with the rules of the [Arbitration Association]. The decision of the arbitrator shall be final and binding on the parties
If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions of these Terms shall remain in full force and effect.
No waiver of any term or condition of these Terms shall be deemed a further or continuing waiver of such term or condition or any other term or condition, and any failure to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.
These Terms constitute the entire agreement between the user and iMedic Data Systems regarding the users use of the iMedic Software and supersede all prior or contemporaneous understandings and agreements, whether written or oral, regarding such subject matter.
